By accessing or using CountX ("the Service"), operated at countx.io, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

The Service is provided by CountX ("we", "us", "our"). These Terms govern your use of our social media analytics, content management, and publishing platform.

CountX provides:

• Social media analytics dashboards for Instagram, TikTok, YouTube, and other platforms.
• Content management and publishing tools, including photo, reel, and story publishing to Instagram.
• Performance tracking, engagement metrics, and trend analysis.
• Multi-account management for agencies and teams.

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must be at least 18 years old to use the Service. By registering, you represent that you meet this age requirement.

The Service requires you to authorize access to your social media accounts via OAuth. By authorizing, you grant us permission to:

• Read your profile information and media data.
• Access performance insights and analytics.
• Publish content on your behalf (only when you explicitly initiate a post).

You may revoke access at any time by disconnecting your accounts within the Service or through your social media platform's settings.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Violate the terms of service of any connected social media platform (Meta, TikTok, YouTube, etc.).
• Publish content that is illegal, defamatory, harassing, or infringes on third-party rights.
• Attempt to reverse-engineer, decompile, or access the source code of the Service.
• Interfere with or disrupt the Service or its infrastructure.
• Share your account credentials with unauthorized persons.
• Use automated tools to scrape or extract data from the Service.

CountX offers subscription plans with varying features and account limits. By subscribing to a paid plan:

• You authorize us to charge the applicable subscription fee to your payment method.
• Subscriptions renew automatically unless canceled before the renewal date.
• You may cancel your subscription at any time through the account settings.
• Refunds are handled according to our refund policy. Generally, we do not offer refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Existing subscriptions are honored until their next renewal.

You retain all rights to the content you create and publish through the Service. By uploading content, you grant us a limited, non-exclusive license to store and transmit that content solely for the purpose of providing the Service (e.g., publishing to your connected social media accounts).

The Service itself, including its design, code, and branding, is the intellectual property of CountX and is protected by applicable copyright and trademark laws.

The Service integrates with third-party platforms (Meta/Instagram, TikTok, YouTube). We are not responsible for:

• Changes to third-party APIs that may affect Service functionality.
• Actions taken by third-party platforms against your accounts.
• Data loss caused by third-party platform outages or policy changes.

Your use of connected platforms is subject to their respective terms of service.

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, CountX shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, revenue, or business opportunities.
• Service interruptions or downtime.

Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time by contacting us or using the account deletion feature.

Upon termination, your data will be deleted in accordance with our Privacy Policy.

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the competent courts.
